Terms & Conditions

1.1 Definitions:

• "Account" means your registered user account on the Platform
• "Applicable Laws" means all laws, regulations, and regulatory requirements applicable in Nigeria
• "Business Day" means Monday to Friday, excluding public holidays in Nigeria
• "Company," "Pairgate," "we," "us," or "our" refers to Pairgate Venture
• "Content" means all information, data, text, software, music, sound, photographs, graphics, video, messages, or other materials
• "Intellectual Property Rights" means patents, trademarks, service marks, copyrights, trade secrets, and all other intellectual property rights
• "Platform" means the Pairgate website (https://pairgate.com), mobile applications, and all related services
• "Services" means all products and services offered through the Platform including airtime, data bundles, utility bill payments, gaming services, and any other services
• "Transaction" means any purchase, sale, or exchange conducted through the Platform
• "User," "you," or "your" refers to any person accessing or using the Platform

1.2 Interpretation:

• Headings are for convenience only and do not affect interpretation
• Words in the singular include the plural and vice versa
• References to "including" or "includes" mean "including without limitation"
• References to writing include electronic communications

2.1 Binding Agreement:
These Terms constitute a legally binding contract between you and Pairgate Venture. By clicking "I Accept," registering for an account, accessing the Platform, or using any Services, you unconditionally accept and agree to be bound by these Terms.

2.2 Capacity and Authority:
You represent that you have the legal capacity, authority, and right to enter into this agreement. If you are accessing the Platform on behalf of a company or entity, you represent that you have authority to bind that entity to these Terms.

2.3 Age Restriction:
You must be at least 18 years old to use the Platform. By using the Platform, you represent and warrant that you are 18 years or older. We reserve the right to request proof of age at any time.

2.4 Amendments:
We reserve the absolute right to modify, amend, or update these Terms at any time without prior notice. Changes become effective immediately upon posting. Your continued use constitutes acceptance. We may notify you of changes via email or Platform notification, but are not obligated to do so. You are solely responsible for reviewing these Terms regularly.

2.5 Supplemental Terms:
Additional terms, policies, procedures, and guidelines posted on the Platform are incorporated herein by reference. In case of conflict, these Terms prevail unless explicitly stated otherwise.

2.6 Geographic Restrictions:
The Platform is intended for use within Nigeria. If you access the Platform from outside Nigeria, you do so at your own risk and are responsible for compliance with local laws.

3.1 Registration Requirements:
To access certain Services, you must register and create an Account. You agree to:

• Provide true, accurate, current, and complete information
• Maintain and promptly update all Account information
• Not register if previously banned or terminated
• Not use false identities or impersonate others
• Not create multiple accounts without authorization
• Not share, sell, or transfer your Account

3.2 Account Security:
You are solely responsible for:

• Maintaining confidentiality of your password and login credentials
• All activities occurring under your Account, whether authorized or not
• Any loss or damage resulting from unauthorized Account access
• Immediately notifying us of any security breach or unauthorized use

3.3 Account Verification:
We reserve the right to:

• Verify your identity using government-issued identification, BVN, NIN, or other means
• Request additional documentation at any time
• Suspend your Account pending verification
• Refuse registration or terminate Accounts that fail verification

3.4 No Account Ownership:
Your Account is licensed, not owned. We retain all rights to your Account and may reclaim, modify, or terminate it at our sole discretion.

23.1 Protection of IP: Pairgate actively monitors and enforces its intellectual property rights. Any unauthorized use of our trademarks, copyrighted material, or proprietary content will be met with legal action including DMCA takedowns, injunctions, and damages.

23.2 Reporting Infringement: If you believe your IP rights have been violated on our Platform, please provide a detailed notice to legal@pairgate.com. We will investigate and take appropriate action within 7 business days.

You consent to receive electronic communications from Pairgate via email, SMS, or in-app notifications. These communications satisfy any legal requirement that they be in writing.

Use of our mobile app is subject to the same Terms. Additional permissions (camera, storage, location) are only used with your consent. App updates may be required for continued service.

We engage third-party providers for payment processing, identity verification, and service delivery. Your interaction with them is subject to their terms, and Pairgate disclaims liability for their acts or omissions.

You acknowledge that using digital services carries inherent risks, including transaction errors, cyberattacks, and regulatory changes. You assume full responsibility for such risks.

If any provision is found unenforceable, the remainder remains in full force. Our failure to enforce any right does not waive that right.

You may not assign your rights under these Terms without our written consent. Pairgate may assign these Terms without restriction.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pairgate, superseding all prior agreements.

Nothing in these Terms creates a partnership, joint venture, or employment relationship. You are an independent user.

Pairgate is not liable for delays or failures caused by events beyond reasonable control, including natural disasters, war, pandemics, or internet disruptions.

Official notices must be sent to our registered address or via email to legal@pairgate.com. Notices are deemed received within 48 hours of sending.

The English version of these Terms prevails over any translation.

Sections regarding indemnification, liability limits, IP, and dispute resolution survive termination.

These Terms confer no rights on any third party.

Pairgate cooperates fully with law enforcement and may share user data when legally required.

We may record customer support interactions for quality and training.

We employ advanced fraud detection. Suspicious accounts may be frozen and reported to financial crime authorities.

Inactive accounts (no login for 12 months) may be archived or charged a maintenance fee.

Promotional offers are subject to specific terms and may be revoked for abuse.

Support is available via email and live chat. Response times are not guaranteed.

Any feedback you provide becomes our property, and we may use it without compensation.

Beta features are provided "as is" and may be discontinued without notice.

Users from countries under UN sanctions or Nigerian embargoes are prohibited.

We maintain disaster recovery plans, but do not guarantee uninterrupted service.

We may add, modify, or remove features at any time without liability.

These Terms shall be construed neutrally, not against the drafter.

By using Pairgate, you acknowledge that you have read, understood, and agree to be bound by all provisions.

These Terms are effective as of October 9, 2025 and apply to all use of the Platform from that date forward.
